These Terms of Service ("Terms") govern your use of the dBaton CUE software plugin and related services (collectively, the "Service") provided by dBaton ("dBaton", "we", "us", "our").
By purchasing, downloading, installing, or using the Service, you ("you", "the user", "the licensee") agree to be bound by these Terms. If you do not agree, do not use the Service.
We may update these Terms from time to time. Material changes will be communicated via the email address associated with your license. Continued use of the Service after notification constitutes acceptance of the updated Terms.
dBaton CUE is an audio plugin (AU/VST3/AAX format) for macOS and Windows. dBaton CUE enables real-time streaming of audio from a digital audio workstation ("DAW") to web browsers via WebRTC peer-to-peer technology. The Service includes:
Audio is transmitted directly between the plugin and the listener's browser using encrypted peer-to-peer connections. No audio data passes through or is stored on dBaton's servers.
3.1 One-time purchase. Upon purchase of a one-time license at the published price, dBaton grants you a perpetual, non-exclusive, non-transferable, revocable license to install and use the dBaton CUE plugin on up to three (3) machines that you own or control, for personal or professional use.
3.2 Rent-to-own. Upon subscribing to the rent-to-own plan, dBaton grants you a non-exclusive, non-transferable, revocable license to use the dBaton CUE plugin for the duration of your active subscription. After completing the full payment term as specified at the time of purchase (currently sixteen (16) monthly payments), the license converts automatically to a perpetual license with the same terms as Section 3.1.
3.3 Trial. dBaton may offer a time-limited trial of the Service at no charge. Trial licenses are subject to these same Terms. dBaton reserves the right to modify or discontinue the trial offer at any time.
3.4 What the license does not include. The license grants the right to use the compiled software. It does not grant any rights to the source code, algorithms, design, or any other intellectual property of dBaton beyond the right of use described above.

Each license allows activation on up to three (3) machines simultaneously. You may deactivate a machine at any time through the plugin interface to free up an activation slot.
6.1 Merchant of record. All payments are processed by Paddle.com Market Ltd ("Paddle"), which acts as the merchant of record.
6.2 Pricing. Prices are displayed in euros and may be displayed in your local currency by Paddle. All applicable taxes are calculated and collected by Paddle based on your location.
7.1 Signaling infrastructure. The Service relies on signaling servers to establish connections between the plugin and browser listeners. This infrastructure is provided on a best-effort basis.
7.2 Network relay (TURN). When a direct peer-to-peer connection cannot be established, the Service uses relay servers to route audio.
7.3 Fair use. The license includes a generous allowance of relay usage suitable for professional use. dBaton reserves the right to set and enforce reasonable limits on relay usage.
7.4 No uptime guarantee. The Service is provided without a formal service level agreement (SLA).
7.5 Service continuity. dBaton commits to maintaining dBaton CUE for a minimum period of 24 months from the date of your purchase. In the event of service discontinuation, Licensee will receive no less than 90 days' prior written notice via email.
8.1 Updates. dBaton CUE includes all minor and patch updates (e.g. 1.x.x) at no additional cost. Major version upgrades may be subject to a separate purchase.
8.2 Support. dBaton provides support via email at support@dbaton.com.
The Service, including all code, design, trademarks, logos, and documentation, is the intellectual property of dBaton and is protected by copyright and other applicable laws. You retain all rights to any audio content you transmit through the Service.
We offer a fourteen (14) day money-back guarantee on one-time purchases. For rent-to-own subscriptions, you may cancel at any time, but monthly payments already made are not individually refundable. All refunds are processed through Paddle.
To the maximum extent permitted by applicable law, dBaton shall not be liable for any indirect, incidental, special, consequential, or punitive damages. dBaton's total aggregate liability shall not exceed the total amount you have paid for the Service in the twelve (12) months preceding the claim.
You may terminate your license at any time by uninstalling the plugin and requesting deactivation via support@dbaton.com. dBaton may suspend or terminate your license if you materially breach these Terms.
These Terms are governed by and construed in accordance with the laws of Spain. If you are a consumer within the European Union, you also benefit from any mandatory provisions of the consumer protection law of your country of residence.
These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and dBaton regarding the Service.
