Terms of Service

1. Introduction and acceptance

These Terms of Service ("Terms") govern your use of the dBaton Cue software plugin and related services (collectively, the "Service") provided by Javier Belzunce, operating as dBaton, a sole proprietor registered in Spain ("dBaton", "we", "us", "our").

By purchasing, downloading, installing, or using the Service, you ("you", "the user", "the licensee") agree to be bound by these Terms. If you do not agree, do not use the Service.

We may update these Terms from time to time. Material changes will be communicated via the email address associated with your license. Continued use of the Service after notification constitutes acceptance of the updated Terms.

2. Description of the Service

dBaton Cue is an audio plugin (AU/VST3 format) for macOS that enables real-time streaming of audio from a digital audio workstation ("DAW") to web browsers via WebRTC peer-to-peer technology. The Service includes:

  • The dBaton Cue plugin software;
  • The browser-based listener interface;
  • The signaling infrastructure required to establish connections between the plugin and browser clients;
  • Network relay services (TURN) for connections that cannot be established directly.

Audio is transmitted directly between the plugin and the listener's browser using encrypted peer-to-peer connections. No audio data passes through or is stored on dBaton's servers.

3. License grant

3.1 One-time purchase. Upon purchase of a one-time license at the published price, dBaton grants you a perpetual, non-exclusive, non-transferable, revocable license to install and use the dBaton Cue plugin on up to two (2) computers that you own or control, for personal or professional use.

3.2 Rent-to-own. Upon subscribing to the rent-to-own plan, dBaton grants you a non-exclusive, non-transferable, revocable license to use the dBaton Cue plugin for the duration of your active subscription. After completing the full payment term as specified at the time of purchase (currently fifteen monthly payments), the license converts automatically to a perpetual license with the same terms as Section 3.1.

3.3 Trial. dBaton may offer a time-limited trial of the Service at no charge. Trial licenses are subject to these same Terms. dBaton reserves the right to modify or discontinue the trial offer at any time.

3.4 What the license does not include. The license grants the right to use the compiled software. It does not grant any rights to the source code, algorithms, design, or any other intellectual property of dBaton beyond the right of use described above.

4. License restrictions

You may not:

  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the plugin;
  • Modify, adapt, translate, or create derivative works of the plugin;
  • Redistribute, sublicense, rent, lease, lend, or sell the plugin or your license to any third party;
  • Remove, alter, or obscure any proprietary notices on the plugin;
  • Use the Service for any unlawful purpose or in violation of any applicable laws;
  • Use the Service to transmit content that infringes the intellectual property rights of third parties;
  • Circumvent or attempt to circumvent the license activation system;
  • Share your license serial number with third parties;
  • Use the Service in a manner that places unreasonable or disproportionate load on the infrastructure (see Section 7).

5. Activations and machines

Each license allows activation on up to two (2) machines simultaneously. You may deactivate a machine at any time through the plugin interface to free up an activation slot. If you need to activate on additional machines, contact support@dbaton.com.

dBaton stores a machine identifier and activation timestamp for each activation. This data is used solely for license enforcement. See our Privacy Policy for details.

6. Payment and billing

6.1 Merchant of record. All payments are processed by Paddle.com Market Ltd ("Paddle"), which acts as the merchant of record. Paddle handles payment processing, tax calculation, invoicing, and VAT compliance on behalf of dBaton. By purchasing the Service, you also agree to Paddle's Terms of Use.

6.2 Pricing. Prices are displayed in euros (€) and may be displayed in your local currency by Paddle. All applicable taxes (including VAT) are calculated and collected by Paddle based on your location.

6.3 One-time purchase. The full amount is charged at the time of purchase.

6.4 Rent-to-own subscription. You will be charged the monthly amount on the same day each month. If a payment fails, Paddle may retry the charge. If payment cannot be collected after retries, your license will be suspended until payment is resolved. After completing the full payment term, no further payments are required and the license becomes perpetual.

6.5 Cancellation of rent-to-own. You may cancel your rent-to-own subscription at any time. Upon cancellation, you will retain access until the end of the current paid billing period. After that, the license will be deactivated. Payments already made are not refundable (see Section 10 for the refund policy). If you re-subscribe later, previously made payments do not count toward ownership.

7. Service infrastructure and fair use

7.1 Signaling infrastructure. The Service relies on signaling servers hosted on Cloudflare Workers to establish connections between the plugin and browser listeners. This infrastructure is provided on a best-effort basis.

7.2 Network relay (TURN). When a direct peer-to-peer connection cannot be established (for example, due to restrictive firewalls or network configurations), the Service uses third-party TURN relay servers to route audio. This relay service has an associated cost to dBaton for each session.

7.3 Fair use. The license includes a generous allowance of relay usage suitable for professional use. dBaton reserves the right to set and enforce reasonable limits on relay usage to ensure fair access for all users and to maintain the sustainability of the Service. If your relay usage consistently and significantly exceeds normal professional use, dBaton may:

  • Notify you and suggest network configuration improvements that may enable direct connections;
  • Temporarily limit relay availability for your sessions, in which case only direct peer-to-peer connections will be available;
  • In exceptional cases, contact you to discuss alternative arrangements.

In no circumstance will your license be revoked due to relay usage. The plugin will continue to function for all direct (non-relayed) connections regardless of relay limits.

7.4 Third-party services. The Service depends on third-party infrastructure including, but not limited to, Cloudflare (hosting, signaling), and TURN relay providers. dBaton is not responsible for outages, changes, or discontinuation of third-party services beyond our control. We will make commercially reasonable efforts to maintain service continuity, including migrating to alternative providers if necessary.

7.5 No uptime guarantee. The Service is provided without a formal service level agreement (SLA). While we aim for high availability, we do not guarantee uninterrupted or error-free operation. Temporary interruptions may occur for maintenance, updates, or due to circumstances beyond our control.

8. Updates and support

8.1 Updates. Perpetual licenses and active rent-to-own subscriptions include access to all updates released for the current major version of the software. dBaton reserves the right to charge separately for future major version upgrades, which will be clearly communicated in advance.

8.2 Support. dBaton provides support via email at support@dbaton.com. We will make reasonable efforts to respond to support requests within a reasonable time frame, but do not guarantee response times.

9. Intellectual property

The Service, including all code, design, trademarks, logos, and documentation, is the intellectual property of dBaton and is protected by copyright and other applicable laws. Your license grants you the right to use the software; it does not transfer ownership of any intellectual property.

You retain all rights to any audio content you transmit through the Service. dBaton does not access, monitor, record, or claim any rights over your audio content.

In summary: we offer a fourteen (14) day money-back guarantee on one-time purchases. For rent-to-own subscriptions, you may cancel at any time, but monthly payments already made are not individually refundable. All refunds are processed through Paddle.

11. Limitation of liability

11.1 To the maximum extent permitted by applicable law, dBaton shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of or inability to use the Service.

11.2 dBaton's total aggregate liability for any claims arising from or related to the Service shall not exceed the total amount you have paid to dBaton for the Service in the twelve (12) months preceding the claim.

11.3 The Service streams audio in real time and does not store, record, or back up any audio content. dBaton is not responsible for any loss of audio data.

11.4 Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited under applicable law.

12. Termination

12.1 You may terminate your license at any time by uninstalling the plugin and requesting deactivation via support@dbaton.com.

12.2 dBaton may suspend or terminate your license if you materially breach these Terms, including but not limited to circumventing the activation system, redistributing the software, or engaging in abusive use of the infrastructure. We will provide notice and a reasonable opportunity to remedy the breach before termination, except in cases of egregious violations.

12.3 Upon termination, your right to use the plugin ceases immediately. Sections 4, 9, 11, 13, and 14 survive termination.

13. Governing law and dispute resolution

13.1 These Terms are governed by and construed in accordance with the laws of Spain.

13.2 If you are a consumer within the European Union, you also benefit from any mandatory provisions of the consumer protection law of your country of residence.

13.3 In the event of a dispute, we encourage you to first contact us at support@dbaton.com to seek an amicable resolution. If a resolution cannot be reached, disputes shall be submitted to the courts of Barcelona, Spain, without prejudice to your right as an EU consumer to bring proceedings in the courts of your country of residence.

13.4 You may also use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

14. General provisions

14.1 Entire agreement. These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and dBaton regarding the Service.

14.2 Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

14.3 Waiver. Failure to enforce any provision of these Terms shall not constitute a waiver of that provision.

14.4 Assignment. You may not assign your rights or obligations under these Terms. dBaton may assign its rights and obligations in connection with a merger, acquisition, or sale of assets, with notice to you.
